1. Introduction
These Terms of Use ("Terms") govern your access to and use of the Construction Project Management Portal (the "Portal") operated by Seddon Construction Ltd ("Seddon", "we", "us", "our").
The Portal is a secure digital platform used to manage construction projects from instruction through to completion. Access is restricted to our clients and supply chain partners who have been formally authorised by us. The Portal is not accessible to the general public.
By registering for or using the Portal, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Portal.
2. Definitions
- "Client" means a person or organisation that has commissioned construction works from Seddon and has been granted Portal access
- "Supply Chain Partner" means a subcontractor, consultant, specialist supplier, or other third party engaged by Seddon or a Client to deliver works on a project and granted Portal access
- "User" means any individual who has been issued Portal login credentials, whether as a Client representative or Supply Chain Partner representative
- "Project" means a specific construction project managed through the Portal
- "Content" means any data, documents, images, messages, or other materials uploaded, submitted, or generated through the Portal
- "Authorised User" means a User whose access has been approved and provisioned by Seddon
3. Access and Registration
3.1 Eligibility
Portal access is granted at Seddon's sole discretion. You must be at least 18 years of age and authorised to act on behalf of your organisation to register and use the Portal.
3.2 Account Registration
You are responsible for ensuring that all registration information you provide is accurate, complete, and kept up to date. You must notify Seddon promptly of any changes to your contact details or organisational affiliation.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your username or password with any other person. You must notify Seddon immediately at the contact details in Section 15 if you become aware of any unauthorised use of your account.
Seddon reserves the right to suspend or terminate your access without notice if we reasonably believe your account has been compromised or is being used in breach of these Terms.
3.4 Access Scope
Your access to the Portal is limited to the project(s) and data relevant to your role. You must not attempt to access data, projects, or areas of the Portal for which you have not been authorised.
4. Acceptable Use
You agree to use the Portal only for lawful purposes connected with the management and delivery of construction projects. You must not:
- Upload, submit, or distribute any Content that is unlawful, defamatory, obscene, threatening, or discriminatory
- Upload Content that infringes any third party's intellectual property rights
- Attempt to gain unauthorised access to any part of the Portal, other users' accounts, or Seddon's systems
- Introduce viruses, malware, or other harmful code to the Portal
- Use the Portal to send unsolicited communications or spam
- Copy, reproduce, or distribute Portal Content to third parties outside the scope of your project role without Seddon's prior written consent
- Use automated tools, bots, or scrapers to access or extract data from the Portal
- Misrepresent your identity, role, or affiliation with any organisation
- Use the Portal in any way that could damage, disable, or impair its operation
5. Content and Intellectual Property
5.1 Your Content
You retain ownership of Content that you upload or submit to the Portal. By submitting Content, you grant Seddon a non-exclusive, royalty-free licence to use, store, reproduce, and display that Content solely for the purposes of managing and delivering the relevant Project.
5.2 Seddon Content
All Portal software, design, branding, documentation, and materials created by or on behalf of Seddon remain the exclusive property of Seddon or its licensors. Nothing in these Terms grants you any rights to Seddon's intellectual property beyond the limited right to use the Portal as authorised.
5.3 Accuracy of Submissions
You are responsible for ensuring that all Content you submit is accurate, complete, and submitted in a timely manner. Seddon is entitled to rely on submissions made through the Portal as an accurate record of works, approvals, and communications.
6. Project Data and Confidentiality
Information shared through the Portal in connection with a Project may be commercially sensitive. You agree to treat all Project-related information accessed through the Portal as confidential and to use it only for the purposes of delivering or overseeing the relevant Project.
You must not disclose Project information to any third party without Seddon's prior written consent, except where disclosure is required by law or is necessary to fulfil your contractual obligations on the Project.
7. Approvals and Sign-Off
Where the Portal is used to record approvals, sign-offs, or confirmations, such records constitute evidence of the action taken at the time recorded. Users granting approvals through the Portal confirm that they have the authority to do so on behalf of their organisation.
Seddon is not responsible for approvals granted by Users who lack the necessary authority within their organisation.
8. Availability and Maintenance
We aim to keep the Portal available at all times but do not guarantee uninterrupted access. The Portal may be unavailable during scheduled maintenance, upgrades, or due to circumstances beyond our reasonable control.
Seddon will use reasonable efforts to provide advance notice of planned maintenance where practicable. We accept no liability for any loss arising from temporary unavailability of the Portal.
9. Suspension and Termination
9.1 By Seddon
Seddon may suspend or terminate your Portal access at any time, with or without notice, if you breach these Terms, if your involvement in a Project ends, or if we reasonably consider it necessary to protect the security or integrity of the Portal or other Users.
9.2 By You
You may request deactivation of your Portal account at any time by contacting us using the details in Section 15. Deactivation does not affect our right to retain Project records in accordance with our Privacy Policy and applicable law.
9.3 Effect of Termination
Upon termination of your access, your right to use the Portal ceases immediately. Sections that by their nature should survive termination (including Sections 5, 6, 10, 11, 12, and 13) will continue to apply.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Seddon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Portal.
Seddon's total aggregate liability to you in connection with the Portal shall not exceed £1,000, except where liability cannot be excluded or limited by law (including liability for death or personal injury caused by negligence, or fraud).
The Portal is provided on an "as is" and "as available" basis. Seddon makes no warranties, express or implied, regarding the Portal's fitness for a particular purpose beyond its intended use as a project management tool.
11. Indemnity
You agree to indemnify and hold harmless Seddon, its directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Portal, or any Content you submit.
12. Data Protection
Our collection and use of personal data through the Portal is governed by our Privacy Policy, which forms part of these Terms. By using the Portal, you acknowledge that you have read and understood the Privacy Policy.
Where you upload personal data relating to other individuals (for example, employees or operatives), you confirm that you have a lawful basis to do so and that those individuals have been informed of how their data will be used.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms or your use of the Portal shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We may update these Terms from time to time. The current version will always be accessible within the Portal. Where changes are material, registered Users will be notified by email no less than 14 days before the change takes effect. Continued use of the Portal after that date constitutes acceptance of the revised Terms.
